These Terms & Conditions ("Terms") govern your access to and use of https://xaintec.com (the "Site") operated by Xaintec ("Xaintec," "we," "us," or "our").

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Important:Project work, retainers, and custom software or automation engagements are governed by separate proposals, statements of work (SOWs), master service agreements, or order forms (collectively, "Client Agreements"). If there is a conflict between these Terms and a Client Agreement, the Client Agreement controls for that engagement.

1. Who may use the Site

The Site is intended for business and professional users. You represent that you are at least 18 years old and have authority to enter into these Terms on behalf of yourself or the organization you represent.

2. Services described on the Site

Descriptions of AI, automation, WhatsApp, Martech, data, and related capabilities are for general information. Features, timelines, pricing, and outcomes depend on scope and are confirmed only in a Client Agreement. Case studies and metrics on the Site are informational and are not guarantees of future results.

3. Inquiries and contact forms

Submitting a form or messaging us does not create a client relationship. We may respond using the contact details you provide (email, WhatsApp, or phone). Information you send is handled under our Privacy Policy.

4. Intellectual property

The Site, including text, design, logos, graphics, and software, is owned by Xaintec or its licensors and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from Site content without prior written consent, except for limited personal, non-commercial viewing.

Deliverables created under a Client Agreement are owned as set out in that agreement.

5. Acceptable use

You agree not to:

• Use the Site for unlawful, harmful, or fraudulent purposes.
• Attempt unauthorized access to systems, accounts, or data.
• Interfere with Site security, performance, or availability.
• Scrape, harvest, or index the Site in abusive or excessive ways.
• Submit malware, spam, or content that infringes others' rights.
• Misrepresent your identity or affiliation when contacting us.

6. Third-party services and links

The Site may reference third-party products, APIs, or links. We do not control and are not responsible for third-party sites or services. Your use of them is subject to their own terms and policies. Integrations we implement for clients are subject to Client Agreements and the third party's terms.

7. Disclaimer of warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, XAINTEC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XAINTEC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Liability for paid Client Agreements is governed exclusively by those agreements.

9. Indemnification

You agree to defend, indemnify, and hold harmless Xaintecand its personnel from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site, your violation of these Terms, or your infringement of third-party rights.

10. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated by reference.

11. Changes

We may modify these Terms at any time by posting an updated version on the Site with a new "Last updated" date. Continued use after changes constitutes acceptance where permitted by law.

12. Suspension and termination

We may suspend or terminate access to the Site at any time, including for suspected violation of these Terms. Provisions that by nature should survive (including IP, disclaimers, limitations, and indemnity) will survive.

13. Governing law

These Terms are governed by the laws of the United States and the State of Wyoming, without regard to conflict-of-law rules. Exclusive venue for disputes arising from the Site or these Terms shall be the state or federal courts located in Wyoming, unless a Client Agreement specifies otherwise for that engagement.

14. Miscellaneous

• If any provision is found unenforceable, the remaining provisions remain in effect.
• Failure to enforce a provision is not a waiver of the right to enforce it later.
• These Terms are the entire agreement regarding the Site and supersede prior understandings on that subject (excluding Client Agreements).
• You may not assign these Terms without our consent; we may assign them freely.
